SULUHU COPYRIGHT & INTELLECTUAL PROPERTY POLICY

2. SULUHU INTELLECTUAL PROPERTY

Unless otherwise stated, Suluhu or its licensors own or control the intellectual property associated with the Platform, including:

  • Suluhu trademarks;
  • logos;
  • brand identity;
  • software;
  • source code;
  • application interfaces;
  • website design;
  • databases;
  • Platform architecture;
  • graphics;
  • documentation;
  • original text;
  • Platform-generated content;
  • proprietary algorithms;
  • trade secrets; and
  • other proprietary materials.

Nothing in your use of Suluhu transfers ownership of these rights to you.

3. SULUHU TRADEMARKS

"Suluhu" and associated logos, names, designs, slogans, and branding may constitute trademarks or other protected intellectual property.

You may not use Suluhu branding without prior authorization.

In particular, you must not:

  • create a confusingly similar brand;
  • represent an independent business as Suluhu;
  • use Suluhu branding on unauthorized products;
  • register confusingly similar domain names; or
  • imply an endorsement by Suluhu without authorization.

4. LIMITED PLATFORM LICENCE

Subject to these Terms, Suluhu grants users a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose.

This licence does not permit you to:

  • copy the Platform;
  • reproduce Platform software;
  • reverse engineer the Platform;
  • modify the Platform;
  • distribute Suluhu software;
  • create derivative works;
  • scrape proprietary databases;
  • commercially exploit Suluhu intellectual property; or
  • circumvent Platform security.

5. SERVICE PROVIDER CONTENT

Service Providers may upload:

  • profile photographs;
  • business logos;
  • service descriptions;
  • portfolios;
  • photographs;
  • certificates;
  • promotional material; and
  • other content.

The Service Provider remains responsible for ensuring that they have the necessary rights to upload such material.

You must not upload content that infringes another person's intellectual property rights.

6. CUSTOMER CONTENT

Customers may submit:

  • photographs;
  • service instructions;
  • reviews;
  • messages;
  • documents;
  • feedback; and
  • other content.

Customers remain responsible for content they submit.

You must have the necessary rights and permissions to submit that content to Suluhu.

7. LICENCE TO SULUHU

By uploading content to Suluhu, you grant Suluhu a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, transmit, adapt where technically necessary, and otherwise process that content to the extent reasonably necessary to:

  • operate the Platform;
  • provide requested Services;
  • display profiles;
  • facilitate Bookings;
  • communicate with users;
  • process disputes;
  • provide customer support;
  • prevent fraud;
  • improve Platform functionality; and
  • comply with legal obligations.

This licence does not transfer ownership of your content to Suluhu.

8. PROFILE AND MARKETING CONTENT

Where a Service Provider makes content publicly available as part of their Suluhu profile, Suluhu may display that content to prospective Customers for the purpose of operating and promoting the marketplace.

Suluhu may use publicly displayed profile information in Platform marketing materials where reasonably necessary to promote Suluhu, subject to applicable law and any required permissions.

9. BEFORE-AND-AFTER PHOTOGRAPHS

Where photographs are submitted for Job verification or dispute resolution, Suluhu may retain and use them for legitimate Platform purposes, including:

  • verifying Services;
  • resolving disputes;
  • investigating complaints;
  • preventing fraud;
  • maintaining records; and
  • enforcing Platform policies.

Such photographs should not be treated as general advertising material unless Suluhu has an appropriate legal basis and, where required, permission to use them for that purpose.

10. USER WARRANTIES

By uploading content, you represent that:

  1. 1.You own the content or have permission to use it;
  2. 2.You have the necessary rights to grant Suluhu the licence described in this Policy;
  3. 3.The content does not knowingly infringe another person's intellectual property rights;
  4. 4.The content does not violate applicable law; and
  5. 5.The content does not contain malicious software.

13. INVESTIGATION OF COMPLAINTS

Upon receiving a credible complaint, Suluhu may:

  • review the reported content;
  • contact the uploader;
  • request additional information;
  • restrict access to the content;
  • remove content;
  • disable access to relevant features; or
  • take other appropriate action.

Suluhu does not determine complex ownership disputes where the parties provide conflicting claims and may require the parties to resolve such disputes through appropriate legal channels.

14. REPEAT INFRINGEMENT

Suluhu may restrict or terminate accounts where there is credible evidence of repeated or serious intellectual property infringement.

The action taken will depend on the circumstances and applicable law.

15. COUNTER-NOTICES

Where appropriate, a person whose content has been removed may submit a counter-notice explaining why they believe the removal was incorrect.

A counter-notice should include:

  • identification of the removed material;
  • explanation of the basis for the counter-notice;
  • relevant supporting information;
  • contact information; and
  • confirmation that the information provided is accurate.

Suluhu may restore content where appropriate, subject to applicable law and the circumstances of the dispute.

16. USER FEEDBACK

If you provide suggestions, ideas, recommendations, or other feedback about Suluhu, you agree that Suluhu may use that feedback without compensation or attribution, provided that such use does not disclose your confidential information.

17. THIRD-PARTY INTELLECTUAL PROPERTY

Suluhu may display or interact with third-party intellectual property, including:

  • payment provider logos;
  • mapping services;
  • technology provider trademarks;
  • Customer content;
  • Service Provider trademarks; and
  • third-party content.

Such intellectual property remains owned by the relevant rights holder.

19. CONTENT REMOVAL

Suluhu may remove or restrict access to content where it reasonably believes that:

  • the content infringes intellectual property rights;
  • the content violates applicable law;
  • the content violates Suluhu policies;
  • the content creates a security risk; or
  • removal is necessary to protect users or Suluhu.

20. NO TRANSFER OF OWNERSHIP

Except where expressly stated, use of Suluhu does not transfer ownership of:

  • Suluhu intellectual property;
  • Customer intellectual property;
  • Service Provider intellectual property; or
  • third-party intellectual property.

Each party retains ownership of intellectual property that it independently owns.

21. SURVIVAL

Intellectual property rights and obligations that by their nature should continue after account termination will survive termination of a user's relationship with Suluhu.

22. POLICY CHANGES

Suluhu may update this Policy to reflect:

  • changes in law;
  • changes in Platform functionality;
  • new intellectual property requirements; or
  • changes to our business.

The updated version will indicate its effective date.
